Business Formation

Choosing an entity, filing with the state, getting an EIN, and setting your tax election up correctly the first time. A one-time engagement that saves years of cleanup later.

What it is

Business formation is a one-time engagement done right at the beginning. We help you choose between LLC, S-Corp, C-Corp, or partnership based on your goals — not on what sounded good in a podcast — then handle the paperwork to bring it to life.

Doing this wrong is expensive to undo. We see clients every year who formed the wrong entity, missed the S-Corp election deadline, or set up an operating agreement that protects no one. Worth the upfront investment.

Who it's for

  • First-time business owners launching an LLC or corporation
  • Side-hustlers crossing the threshold where entity formation makes sense
  • Existing sole proprietors evaluating an S-Corp election
  • Real estate investors structuring a holding entity
  • Partners who need a clean operating agreement from day one

What's included

  • Entity selection consultation (LLC vs. S-Corp vs. C-Corp vs. partnership)
  • State filing — articles of organization or incorporation
  • Federal EIN application and IRS setup
  • S-Corp election (Form 2553) when applicable, with deadline tracking
  • Operating agreement coordination (we work with your attorney or refer)
  • Initial bookkeeping chart of accounts and software recommendation

How pricing works

One-time engagement quoted per situation — most simple LLC formations run in the low four figures including state fees. Complex multi-entity structures or S-Corp elections with retroactive components are scoped separately.
